I. GENERAL STATEMENT OF BUSINESS CONDUCT The commitment to excellence is fundamental to the philosophy of TGS-NOPEC Geophysical Company. This commitment to excellence means that employees share a common set of objectives and benefit from the achievement of those objectives.
It is the policy of the Company to comply with all applicable laws, including, without limitation, employment, discrimination, health, safety, antitrust, securities and environmental laws. No director, officer, executive or manager of the Company has authority to violate any law or to direct another employee or any other person to violate any law on behalf of the Company.
Each employee and non-employee director of the Company is, and will be held, responsible for the observance of this Code of Conduct. If any employee has questions about any section of this Code of Conduct, he or she should direct all questions to his or her immediate supervisor, the local TGS-NOPEC Geophysical Company Compliance Officer, Human Resources representative, or the Legal Affairs Director. No one has the authority to retaliate against an employee who reports a possible violation. Failure to comply with any of the provisions of this Code of Conduct subjects the employee to disciplinary measures up to and including termination.
Additional policies are stated in the Employee Manual (hereinafter, the “Manual”). To the extent that anything in this Code of Conduct contradicts your local Employee Manual, the local Employee Manual shall control. This Code and the Statement of Values is a statement of goals and expectations for individual and business conduct. It is not intended to and does not in any way constitute a contract, an employment contract or assurance of continued employment or in any way affect anyone’s employee-at-will status, and does not create any right in any employee, client, supplier, competitor, shareholder or any other person or entity.
If any provision of this Code is held to be illegal, invalid, or unenforceable under present or future laws effective during the term hereof, such provision shall be fully severable and this Code shall be construed and enforced as if such illegal, invalid or unenforceable provision had never comprised a part of this Code and the remaining provisions of this Code shall remain in full force and effect and shall not be affected by the illegal, invalid or unenforceable provision or by its severance from this Code. Furthermore, in lieu of such illegal, invalid or unenforceable provision, there shall be added automatically as a part of this Code a provision as similar in terms to such illegal, invalid, or unenforceable provision as may be possible and be legal, valid, and enforceable in the applicable local jurisdiction.
